Nvidia Chipset Driver,install first and reboot.If offered,choose the option to install ONLY the drivers no extra software/utilities.

If Conexant installer gives the common error.....force install the Conexant sound drivers.

Device Manager>Audio device on High Def

Right click, Update Driver

Say "no, not at this time" for connecting to Windows Update

Select> Install from a list or specific location

Select> Don't search I will choose the driver to install

In the list of common hardware types,choose "show all"

Remove the check from "Show Compatible Hardware" and click on "Have Disk"

Next...browse to C:\Swsetup\sp34200

Choose the "inf" and ignore any protest from XP

Reboot.
